Paris, 15 September 2026

Latour Capital announces that it has completed the acquisition of GTD Space & Security, previously a subsidiary of GTD, the Spanish technology group founded in Barcelona in 1987 by Ángel Ramírez and Carles Kinder. Following the transaction, Latour Capital becomes the company’s majority shareholder, alongside GTD Group, which is reinvesting as part of thetransaction, and the management team. The company is adopting a new identity and will operate as Celeres.

In line with Latour Capital’s strategy, the transaction aims to support the long-term industrialand entrepreneurial vision developed by Celeres’ teams, while providing the company with the resources to accelerate its growth and realise its full potential as an independent business.

Celeres, a leading European partner in critical systems

Celeres is a European technology company specialising in critical software and systems for real-timemonitoring, control and operations, serving major institutional and industrial clients. Its solutions are deployed in environments where performance, availability and operational reliability are essential, particularly in space, defence, transport and sensitive infrastructure.

With nearly 40 years of experience, Celeres designs, develops and operates technologies at the heart ofmission-critical activities, with well-established expertise in the space sector, spanning onboard systems for launchers and satellites as well as the ground systems required for European launch campaigns, notably from the Guiana Space Centre in Kourou. Its expertise spans theentire lifecycle of systems and missions – from ground systems and launch infrastructure to command, safety and telemetry solutions – enabling its clientsto rely on a trusted, long-term technology partner.

Drawing on its technological expertise and in-depth understanding of critical environments, Celeres has also successfully begun diversifying into defence, the protection of sensitive sites, and real-time monitoring and control systems for critical infrastructure. It intends to actively pursue this diversification.

The company has 160 employees across four major European markets – Spain, France, Germany and the United Kingdom – and generates approximately €30 million in revenue.

A growth strategy supporting European sovereignty

As technological sovereignty, autonomous access to space and the protection of critical infrastructure become increasingly important,Celeres combines distinctive technical capabilities with deep sector expertise. The company intends to build on these strengths to strengthen its position at the heart of major European space programmes and accelerate its diversification into defence and the protection of sensitive sites.

Its development will be driven by continued organic growth and a strategy of targeted acquisitions in Europe, designed to deepen its expertise, broaden its offering and expand its geographical footprint.

This strategy will enable Celeres to address its clients’ evolving needs with increasingly integrated solutions, while further strengthening its long-standing relationships.

Stronger governance, a commitment to continuity

This next phase will be led by Boris Symchowicz, appointed Chief Executive Officer of Celeres after twenty-two years with Alstom. He will be supported by Marta Escudero, who has shaped the company’s space business formore than thirty years and will work alongside him as Deputy Chief Executive Officer, ensuring continuity across operations, expertise and client relationships.

This commitment to continuity is also reflected in Celeres’ governance. Its Supervisory Board will bring together representatives of Latour Capital, Ángel Ramírez, co-founder of GTD Group, and Jean-Yves Le Gall, former President of CNES and former Chairman and Chief Executive Officer of Arianespace, who will contribute his widely recognised experience in the space sector.

Jean-François Beaudoin, Partner, and Kamil Tazi, Director at Latour Capital, said: “We were impressed by the quality of Celeres’ teams, the depth oftheir expertise in critical systems and the trusted relationships they have built over several decades with leading institutional and industrial clients. This exceptionally strong foundation puts the company in an ideal position tocontinue growing in markets supported by an increasing focus on sovereignty, accelerating investment in space and rising defence budgets. This transactionis fully aligned with Latour Capital’s DNA: supporting the carve-out ofstrategic industrial businesses, preserving their heritage and expertise whilegiving them the autonomy and resources they need to enter the next phase oftheir development. We are delighted to begin this new chapter alongside the Celeres teams, with Boris’ arrival bringing fresh leadership and momentum.”

Ángel Ramírez, co-founder of GTD, said: “This transaction marks an important milestone in GTD’s history, and Latour was thenatural choice. From our very first discussions, its teams understood the distinctive nature of our businesses, the value of our expertise and the importance of preserving the company’s entrepreneurial heritage. Their approachcombines the best of both worlds: substantial financial and strategic resourcesto accelerate Celeres’ development, alongside a strong entrepreneurial and operational culture. By choosing to reinvest and participate in Celeres’ governance alongside Latour Capital, we aim to provide continuity for thecompany and reaffirm our confidence in its teams and its growth potential.”

Boris Symchowicz, Chief Executive Officer of Celeres, added: “Since joining, I have discovered a remarkable company thatdeserves greater visibility. Its new identity fully reflects who we are: the name evokes both celerity - speed - and the Celeres, the elite guard of ancient Rome, embodying the agility, responsiveness, excellence and reliability that define our teams. Building on nearlyforty years of technological expertise in critical systems, we have a clearambition: to strengthen our positions in our core businesses while broadening our capabilities and expanding into new markets, through both organic growth and targeted acquisitions.
